These Terms of Use ("Terms") govern your access to and use of the TrueSource Metals™ ("TSM", "we", "us", "our") websites and any content, features, or services made available through them. By accessing or using our websites, you agree to be bound by these Terms. If you do not agree, please do not use the websites.

1. Acceptance of Terms

By accessing, browsing, or using any TrueSource Metals website — including www.truesourcemetals.com and hub.truesourcemetals.com — you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. If you are accessing the websites on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old and legally able to enter into binding agreements in your jurisdiction to use our websites. The websites are not directed at, and may not be used by, residents of jurisdictions where access to such information is restricted or unlawful. Our websites and all content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, timeliness, completeness, or uninterrupted availability.

Reference data and prices are typically delayed, may differ from official exchange feeds, and may be revised or withdrawn without notice.

5. Intellectual Property

All content, design, layout, text, graphics, code, logos, trade dress, and the marks TrueSource Metals™ and TSM™ are owned by us or our licensors and are protected by copyright, trademark, and other intellectual-property laws of Hong Kong and applicable international treaties.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to access and view the websites for personal, non-commercial, informational use. You may not, without our prior written consent:

To the maximum extent permitted by law, in no event shall TrueSource Metals, its founder, contractors, contributors, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, trading losses, or other intangible losses, arising out of or in connection with:

• Your access to, use of, or inability to use the websites;
• Any reliance on information, prices, news, or data presented on the websites;
• Any unauthorized access to or alteration of data;
• Any third-party content or conduct;
• Any errors, omissions, interruptions, or delays.

Where liability cannot be excluded under applicable law, our total aggregate liability to you for all claims relating to the websites is limited to HKD 100 (one hundred Hong Kong dollars).

9. Indemnification

You agree to indemnify and hold harmless TrueSource Metals and its founder and contributors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the websites; or (c) your violation of any law or third-party right in connection with your use of the websites.

10. Privacy

Your use of the websites is also subject to our Privacy Policy, which describes how we collect, use, and protect personal data in accordance with Hong Kong's Personal Data (Privacy) Ordinance (PDPO).

11. Changes to the Websites and Terms

We may modify, suspend, or discontinue any part of the websites at any time without notice. We may also update these Terms from time to time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the websites after the effective date of any change constitutes your acceptance of the updated Terms.

12. Termination

These Terms remain in effect while you use the websites. We may terminate or suspend your access at any time, with or without cause and without notice. Upon termination, the provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict-of-law rules.

You agree that the courts of Hong Kong SAR shall have exclusive jurisdiction to settle any such dispute or claim, save that we retain the right to bring proceedings against you for breach of these Terms in your country of residence or any other relevant country.

14. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and TrueSource Metals regarding the websites.
• Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely.
• Language. These Terms are written in English. Any translation is provided for convenience only; the English version controls.
